Acquisition of Sydney Airport

On 9 March 2022, Sydney Aviation Alliance acquired all Sydney Airport Securities on issue by way of Scheme of Arrangement (the “Scheme”). This followed the Scheme Meetings held on 3 February 2022 at which securityholders voted in favour of the Scheme (a transcript of which can be found below) and subsequent Scheme approval by the Supreme Court of New South Wales.

Implementation of the Scheme

Payment of Scheme Consideration

Sydney Airport Securityholders who held Sydney Airport Securities at the Scheme Record Date (7.00pm (Sydney time) on Wednesday, 16 February 2022), received cash consideration of $8.75 per Sydney Airport Security ("Scheme Consideration"). The Scheme Consideration was paid out on the implementation date, Wednesday 9 March 2022.

All payments of Scheme Consideration to Sydney Airport Securityholders who held Sydney Airport Securities at the Scheme Record Date were made in accordance with one of the below methods:

by direct deposit into the securityholder's nominated bank account, as advised to the Sydney Airport Registry as at the Scheme Record Date; or
by cheque via prepaid post to the securityholder's registered address, as advised to the Sydney Airport Registry as at the Scheme Record Date.
